LogiSpaceConnect BV – General Terms and Privacy Statement

(Integrated version – updated 15 July 2025 with Article 3a)

Part 1: Definitions

Offering Party: Any legal entity or natural person receiving services via the LogiSpaceConnect BV platform by offering a Business Space and providing or intending to provide contact details and characteristics of the Business Space.

Business Space: Real estate, specifically logistics and/or industrial properties with a footprint of at least 2,500 m², intended for rental or sale.

Searching Party: Any legal entity or natural person receiving services from LogiSpaceConnect BV in the search for a Business Space and providing or intending to provide contact details and requirements for a Business Space to rent.

Subscription Fees: The periodic fee charged by LogiSpaceConnect BV to the Offering Party for the use of the platform and services. This fee is agreed upon based on a subscription model and is automatically renewed unless canceled. The cancellation period is 30 days before the end date of the current subscription period.

LogiSpaceConnect BV: LogiSpaceConnect BV (KvK 91761999), a platform that connects supply and demand for logistics and industrial real estate.

Part 2: Searching for a Business Space

Article 1 – Search Features

1. Searching Parties can browse available Business Spaces via the interactive map on the Website.
2. If interested, the Searching Party must provide contact details, thereby granting permission for LogiSpaceConnect BV to contact them by phone and/or email.

Article 2 – Search Requests

1. Searching Parties can submit specific requirements for a Business Space via a Search Request.
2. Search Requests are anonymized and shared with LogiSpaceConnect’s contacts and network in the broadest sense. This is done in compliance with applicable privacy laws and exclusively within the scope of LogiSpaceConnect’s services.
3. LogiSpaceConnect BV reserves the right to decline a Search Request without stating a reason.

Part 3: Offering a Business Space

Article 3 – Registration of a Business Space

1. Offering Parties can list a Business Space on the Website after payment of the subscription fee.
2. The registration includes providing details of the Business Space and granting permission for its listing on the interactive map and in the newsletter.
3. The contact and address details of the Offering Party will not be publicly displayed.

Article 3a – Market Exploration, Automated Display and Contacting of Potential Offering Parties

1. LogiSpaceConnect BV reserves the right to proactively explore the logistics and industrial real estate market by using publicly available information and automated technologies, including artificial intelligence (AI). The purpose of such exploration is to identify properties that may match specific Search Requests submitted by registered Seeking Parties.
2. 2. In the context of such market exploration, LogiSpaceConnect BV may temporarily and automatically display publicly listed properties on its interactive map. This display serves solely to identify regional availability and to notify potential Offering Parties of the existence of active demand in that region.
3. 3. These displays do not include any contact details, precise addresses, or other personally identifiable or confidential information. Properties are shown in a generic and illustrative manner as part of a non-binding market scan.
4. 4. Based on the results of the automated exploration and the presence of a relevant Search Request, LogiSpaceConnect BV may contact the legal owner or authorised representative of the identified property. This outreach is intended to inform them of the opportunity to list their property formally through the platform.
5. 5. A property identified in this way will only be formally registered as a Business Space and permanently shown on the platform if and when the Offering Party provides explicit consent and activates a valid subscription, in accordance with Articles 3 and 4 of these Terms.
6. 6. No details concerning such properties will be disclosed to any Seeking Party unless and until the Offering Party has expressly authorised the publication and opted in for active matching.
7. 7. This procedure is designed to enhance transparency within the logistics and industrial real estate market, facilitate the efficient matching of supply and demand, and allow owners to be contacted based on concrete and verified interest.
8. LogiSpaceConnect BV operates this process under the principle of legitimate interest as defined under applicable data protection legislation, and no automated decisions are made that produce legal effects or similarly significant consequences for the data subjects. Article 4 – Subscription Payment Terms

1. Registration and listing of a Business Space are activated only after full payment of the subscription fee.
2. The subscription is automatically renewed at the end of each subscription period.
3. Cancellation can be made at any time, taking effect at the end of the current subscription period.
4. If the Offering Party fails to make timely payment, LogiSpaceConnect BV reserves the right to suspend or terminate the service.

Article 5 – Price Changes

1. LogiSpaceConnect BV reserves the right to change subscription prices with at least 30 days’ notice.
2. If the Offering Party does not agree with the change, they may terminate the subscription before the new price takes effect.
3. Price changes are not applied retroactively.

Part 4: Confidentiality and Liability

Article 6 – Confidentiality of Information

1. Information obtained through LogiSpaceConnect BV may not be disclosed or shared with third parties without written permission.
2. Parties shall make reasonable efforts to adequately protect confidential information.

Article 7 – Liability

1. LogiSpaceConnect BV is not liable for the accuracy or completeness of information provided by third parties.
2. Offering and Searching Parties indemnify LogiSpaceConnect BV against claims resulting from incorrect or incomplete information.
3. LogiSpaceConnect BV is not liable for any damages caused by technical malfunctions, force majeure, or other unforeseen circumstances beyond its control.

Part 5: Privacy and Cookie Policy

Article 8 – Processing of Personal Data

1. Personal data is processed in accordance with privacy legislation and used solely for LogiSpaceConnect BV’s services.
2. Data will not be shared with third parties without prior consent, unless legally required.

Article 9 – Security

1. LogiSpaceConnect BV implements appropriate security measures to protect personal data.
2. SSL certificates are used for secure data transmission.

Article 10 – Cookie Policy

1. LogiSpaceConnect BV uses cookies to optimise the user experience. This includes:
   • Functional cookies: Necessary for website functionality.
   • Analytical cookies: Help analyse website traffic and usage patterns.
   • Tracking cookies: Used for personalised advertising and marketing purposes.
2. Visitors can manage their cookie preferences via the cookie settings on the Website. Tracking cookies are only placed with explicit user consent.

Part 6: Disputes and Applicable Law

Article 11 – Applicable Law

1. This agreement is governed by Dutch law.

Article 12 – Competent Court

1. Disputes arising from this agreement will be settled by the competent court in the ZeelandWestBrabant district, location Breda.

Article 13 – Changes to the Terms and Conditions

1. LogiSpaceConnect BV reserves the right to amend these terms and conditions. Changes will be communicated at least 30 days before they take effect.
2. Users have the right to terminate their agreement before the new terms come into effect.

This document replaces all previous versions of the general terms and conditions and takes effect from the date of publication on the Website (31 January 2025; last integrated update 15 July 2025).
